Terms of Sale

1. Purpose

These Terms of Sale (the “Terms”) govern the online subscription to and sale of the PokerFlow software (the “Service”) offered by PFLOW. They apply to any order placed by a user (the “Customer”), who accepts them in full upon subscribing. These Terms supplement the Terms of Use of the Service.

2. Seller

The Service is published and sold by PFLOW, a simplified joint-stock company (SAS) with share capital of €1,000, registered with the Trade and Companies Register under number 944 586 437 (SIRET 944 586 437 00013), with its registered office at 162 Clos des Vignes, 38300 Meyrié, France. 3. The Service

PokerFlow is a desktop application for poker players. It automatically tracks results, bankroll and playing statistics (ROI, hourly rate, ITM %, etc.) from the Customer’s hand histories. PokerFlow is a tracking and accounting tool: it does not offer any gambling service, does not organise any game and does not guarantee any winnings.

4. Pricing

The subscription is offered at the following prices, in euros and including all taxes:

  • Monthly plan: €9 per month;
  • Annual plan: €90 per year (i.e. two months free compared to the monthly plan).

The applicable prices are those displayed on the day of the order. PFLOW may change its prices at any time; new prices apply only to subscriptions and renewals taking effect after the change, of which the Customer is informed beforehand.

5. Free trial

Every new subscription starts with a free trial of 14 days, during which no amount is charged. The Customer may cancel at any time before the end of this period without being charged. At the end of the trial, and unless cancelled by the Customer, the paid subscription continues automatically and the first payment is charged according to the chosen plan.

6. Order and formation of the contract

Subscription takes place online. The Customer selects a plan, reviews the order details and price, then confirms it. Confirming the order constitutes acceptance of these Terms. The contract is formed once the subscription is validated and is archived by PFLOW.

7. Payment

Payments are processed by our payment provider Stripe over a secure connection. PFLOW does not have access to and does not store the Customer’s full card details. Payment is made by recurring automatic charge at the beginning of each subscription period (monthly or annual). If a payment fails, PFLOW may suspend access to the Service until the situation is resolved.

8. Term, renewal and cancellation

The subscription is entered into for the term of the chosen plan (one month or one year) and renews by tacit renewal for successive periods of the same length, unless cancelled.

The Customer may cancel at any time from the customer management area (Stripe customer portal) or by writing to pokerflow.pro@gmail.com. Cancellation takes effect at the end of the current period: access to the Service is maintained until that date and no further charge is made afterwards. Amounts already paid for the current period are not refunded, subject to mandatory legal provisions.

9. Right of withdrawal

Under Article L.221-18 of the French Consumer Code, a consumer Customer normally has fourteen (14) days to withdraw from a distance contract.

As the Service consists of digital content and a service whose performance begins upon subscription, by confirming the order the Customer expressly requests immediate performance of the Service and acknowledges waiving the right of withdrawal once the Service has been fully performed, in accordance with Articles L.221-28, 1° and 13° of the French Consumer Code. The 14-day free trial nonetheless lets the Customer try the Service and cancel free of charge before any payment.

10. Availability and maintenance

PFLOW strives to keep the Service continuously available but does not guarantee the complete absence of interruptions. Access may be temporarily suspended for maintenance, updates or technical reasons beyond PFLOW’s control.

11. Liability

PokerFlow is provided as an analysis and tracking tool. The statistics and calculations it produces depend on the data imported by the Customer and are provided for information only. PFLOW cannot be held liable for the Customer’s gaming decisions or for any financial losses related to playing poker. Gambling is prohibited for minors and can be dangerous: risk of isolation, debt and addiction.

12. Personal data

The processing of the Customer’s personal data is described in our privacy policy, in compliance with the General Data Protection Regulation (GDPR).

13. Complaints and mediation

For any complaint, the Customer may contact PFLOW at pokerflow.pro@gmail.com. Under Article L.612-1 of the French Consumer Code, a consumer Customer may, in the event of an unresolved dispute, use a consumer mediator free of charge. The Customer may also use the European online dispute resolution platform available at ec.europa.eu/consumers/odr.

14. Governing law and jurisdiction

These Terms are governed by French law. Failing an amicable settlement, any dispute falls under the jurisdiction of the French courts, under the conditions provided by law. The protective provisions of the French Consumer Code remain applicable to consumer Customers.
